Job Description

Our client is seeking an Independent Non-Executive Director. This role is non-operational and focuses on governance, strategy, and risk oversight across operations in the Isle of Man and the UK. Key Responsibilities: Contribute to the development and scrutiny of strategic plans. Ensure strategies are aligned with regulatory expectations and market realities across jurisdictions. Evaluate executive performance against strategic and operational objectives. Support succession planning and leadership development to ensure continuity and resilience. Represent the Company externally with regulators, investors, and industry bodies. Promote and protect the reputation and stakeholder relationships in both the Isle of Man and UK. Uphold high standards of corporate governance and ethical conduct. Support the Board in applying relevant Corporate Governance Codes. Provide independent challenge on risk appetite, frameworks, and mitigation strategies. Ensure effective oversight of operational, strategic, and regulatory risks. Monitor adherence to applicable laws, regulations, and codes of conduct. Support the Board in maintaining a culture of compliance and accountability. Attend all scheduled Board meetings in person and relevant committee meetings. Actively contribute to Board and committee discussions, offering independent judgment and insight. Review and approve the annual budget and business plan. Uphold the highest standards of integrity, ethics, and legal compliance. Disclose any conflicts of interest and adhere to all relevant disclosure obligations. Key Skills & Experience: Significant experience in banking, preferably lending in regulated markets. Familiarity with UK and Isle of Man financial regulations, and compliance frameworks. Proven ability to oversee governance structures and risk management practices. Strong commercial acumen and ability to evaluate strategic initiatives. Demonstrated ethical conduct and sound judgment. Ability to challenge constructively and support executive leadership.
